The Firm's Business Law department provides a full spectrum of business representation for the Firm's clients, ranging from counseling on day-to-day business matters to the structuring of complex merger and acquisition, financing and joint venture transactions. The Firm assists clients in the formation and selection of appropriate profit and not-for-profit business entities and counsels clients on and prepares drafts of partnership, stockholder and limited liability operating agreements to govern the client's business relationships. The Firm advises businesses with respect to analyzing business opportunities, corporate governance, reorganizations, acquisition, affiliation and employee benefit matters and prepares all of the necessary agreements, including without limitation, stock and asset purchase agreements, joint venture agreements, equipment sale and leasing agreements, software development agreements, franchise, marketing and distribution agreements in order to implement the client's objectives.
