Jeffrey Greenfield is a corporate and financial services attorney with over 20 years of large firm experience structuring and negotiating complex transactions. He is of counsel to the Firm.

In financial services, Mr. Greenfield represents banks, finance companies, private equity funds, and other non-traditional lenders and borrowers in:

  • Single and syndicated asset-based and real estate secured credits.
  • Revolving, term, term B, warehouse lines, and leveraged acquisition loans.
  • Mezzanine and other subordinated credits.
  • Leasing and leveraged leasing.
  • Working out individual failed credits and sales of portfolios of distressed debt and real estate.
  • Acquiring and disposing of loans secured by contaminated real estate.
  • Loans to rare and collectible coin, stamp, photo, and memorabilia dealers.
  • Factoring transactions.

A former business owner and operator, Mr. Greenfield has a broad spectrum of legal and operational problem-solving abilities. He is adept at understanding business priorities and creatively achieving client goals. His corporate practice focuses on the major life-cycle events of businesses:

  • Entity choice and formation
  • Equity and debt financing
  • Plant, workforce, and equipment expansion
  • Product licensing and distribution

  • Sale, generational transfer of ownership, reorganization, and wind-up

Representative Matters

Mr. Greenfield has represented:

  • A global publishing company in structuring and documenting the complex spinoff of a US and UK technology subsidiary.
  • National and money-center banks in numerous syndicated credit facilities to companies in the financial services, heavy equipment, transportation, manufacturing, leasing, raw materials, and other industries.
  • Regional banks in working capital, term, and bond issue credit support financings.
  • Private equity firms in the sale of portfolio companies.
  • Shareholders in disputes with the company and other shareholders.
  • Real estate opportunity fund in a preferred stock mezzanine investment in a purchaser of multi-family real estate.
  • Non-traditional lenders in loans secured by esoteric collateral.

Publications

Mr. Greenfield has published on finance and securities law for the Financial Services News and The Practical Lawyer, and wrote "Equipment and Personal Property Leasing," a chapter in the Pennsylvania Transaction Guide. He has presented for the Philadelphia Chamber of Commerce and seminars co-sponsored by Penn State University and Geneva Corporate Finance.

Non-Legal Activities

Mr. Greenfield is a counselor to and board member of non-profit and early stage companies in the Philadelphia area.  Mr. Greenfield is also a volunteer lawyer for the Pennsylvania Innocence Project and the Philadelphia Volunteers for the Indigent Program.
